Challenges
You have viewed a brief of the Challenge on the Site ( www.OpenIDEO.com) and subject to agreement to these Challenge Rules and registration as a User, you (the “Entrant”) will be able to submit Contributions to the Challenge. In these Challenge Rules we use the same definitions as the OpenIDEO Terms of Use (the “Terms of Use”) that you agreed to, or will agree to, on registration.


By checking the “I agree” box you as an Entrant acknowledge and confirm that you have read, understand and agree to these Challenge Rules (and any amendments thereto), have no objection to them and agree to be bound by their obligations and conditions as set forth herein. As an Entrant you are entering into an agreement with IDEO LLC, 100 Forest Avenue, Palo Alto, CA 9430 (“IDEO”) as the Challenge Host. In the event of conflict the Challenge Rules shall take precedence over the Terms of Use that you have already agreed to.

If you do not agree to these conditions you will not be able to submit a posting or Contribution for the Challenge.

Challenge Sponsor
The European Commission, Information Society and Media Directorate-General, Brussels (“EU Commission”) is sponsoring this Challenge and has created the Challenge Brief with IDEO and will lead the Expert Panel if appointed.

Awards
The winning contributor(s) will be fully recognized, as may be other key contributor(s) on OpenIDEO. A short list of the winning Contributions will feature at the ‘Digital Agenda Assembly’ event to be held on 21st and 22nd June 2012 in Brussels, Belgium with the purpose of generating interest amongst participants and organisations (“Participant”) in the potential future development of short listed winning Contributions. IDEO will create derivatives of the short listed winning Contributions for presentation at the event according to the rights you have granted in the Terms of Use.

The winning Entrants may be acknowledged at the Digital Agenda Assembly and Participants at the event will be informed that the short listed Contributions are owned by the Entrant and that if any further development or is envisaged by an interested Participant (including the Sponsor) they should firstly contact the respective Entrant. Winning Entrants shall have no right to attend the Digital Agenda Assembly as a result of their Contribution being short listed unless invited to do so. Attendance will be at the Entrants own cost.

The short list of winning Contributions will also be featured on this Site, sites of the Sponsor and any supporter(s) of the Challenge. This will include, without limitation, the right to reproduce, distribute, publish, perform, display and create derivative works of the short list of winning Contributions as in the Terms of Use such as a publication recording and celebrating the Challenge, and/or a presentation at the Digital Agenda Assembly event, or in the form of a proposed policy of the EU Commission.

IDEO and the EU Commission agrees and acknowledges that it must complete this in connection with this Challenge, and in conformity with the Selection Process set forth in these Challenge Rules.

Stages and Timescale
Due to the nature of Challenges and that Contributions cannot be predicted or elicited at the outset of a Challenge, the Challenge Host acting fairly reserves the right to amend the description of the stages and timescale on short notice.

Selection Process
A key principle in evaluating the Contributions for a Challenge is that these are rated by the community of Entrants in the Evaluation stage.

An expert panel comprising personnel from IDEO and the EU Commission, and possibly invited individuals expert in incubation/entrepreneurship/seed funding/start-ups, will define the challenge themes, select concepts for evaluation and review the final rated Contributions (by the community of Entrants) and select the short list of Contributions. Should individuals join the expert panel after the Challenge is launched their names will be published on the Site.

The expert panel will give your Contribution such consideration as is warranted by its sole judgment. Its review of your Contribution shall not be construed as any recognition of the novelty or originality of your Contribution. Neither the EU Commission, nor IDEO, nor additional members of an expert panel if appointed are obligated to give reasons for rejecting your Contribution, or for your Contribution not featuring in the short list of Contributions, or to reveal their activities that are related to the subject matter of your Contribution.

The decision of the expert panel is final and an Entrant has no right of appeal.

Intellectual Property
Due to the provisions of the Terms of Use, IDEO and the EU Commission, advise against you posting a Contribution if you have made an application for a patent, or other form of registered or unregistered intellectual property, for your Contribution, or part thereof. IDEO and the EU Commission accept no liability if an Entrant breaches this advice.

Compliance
IDEO, in good faith, shall comply with local and national statutes, laws, ordinances, rules, regulations, court orders, and other governmental requirements governing the Challenge. Notwithstanding the foregoing however, IDEO do not warrant or represent that the Challenge is in compliance with any and all laws applicable to each and every Entrant or location in the world from which this Challenge may be accessed, viewed or entered, whether domestic or international.
In addition to, and in light of the foregoing, any Challenge is VOID WHERE PROHIBITED BY LAW.

Termination
The Challenge Rules shall terminate when the Challenge is closed unless stated otherwise here.

Jurisdiction and Compliance with Laws
Access to and use of this Site and the terms of these Challenge Rules are governed by the laws of the State of California, USA. You and IDEO agree to submit to the jurisdiction of the state and federal courts located in the Northern District of California, USA.

Modifications to the Challenge Rules
IDEO can revise these Challenge Rules at any time by modifying or updating this posting, except where other notice or consent is required by law. Your use of this Site on or after the effective date of any such modification or update will constitute your acceptance of these Challenge Rules as modified and/or updated.
